1. Definitions

Terms used herein have the meanings set out in Section 1 of the Privacy Policy, unless otherwise stated.

2. Acceptance of Terms

By accessing or using the Services, the User agrees to be legally bound by these Terms.

3. Eligibility and Authority

Users must be legally capable of entering into binding contracts, or must access the Services through an account created and authorized by a parent, legal guardian, coach, or organization on their behalf. Self-registration requires the registrant to confirm, at the point of sign-up, that they are 18 years of age or older, or that they are registering with the knowledge and consent of a parent, guardian, or affiliated club/organization. Parents, guardians, and organizations represent and warrant they have authority to act on behalf of minors or affiliated users, and accept responsibility for such users' compliance with these Terms.

4. Scope of Services

The Services provide digital tools for training planning, monitoring, analysis, and visualization.

The Services are not medical devices and do not provide healthcare services.

Where algorithmic or AI-assisted features are active within the Services, their outputs:

• are informational only;
• do not constitute professional advice;
• do not guarantee results.

Users remain solely responsible for decisions.

7. Subscriptions, Fees, and Payments

The Company may offer free, freemium, or subscription-based access ("Pro" tier). Where offered, subscriptions are purchased exclusively through the Company's website (adasports.tech) and processed by third-party payment providers (e.g., Stripe). Subscriptions are not currently sold or purchasable through the Apple App Store or Google Play in-app purchase systems; where the Services are accessed via a mobile application, that application reflects the subscription status of the User's existing account and does not itself process payment. Fees are payable in advance. The Company reserves the right to introduce in-app purchase options in the future, in which case this Section will be updated accordingly.

8. Refunds

Refunds are granted solely at the Company's discretion unless otherwise required by law.

9. User Obligations and Prohibited Conduct

Users shall not:

• misuse or reverse-engineer the Services;
• provide false information;
• use the Services for unlawful purposes;
• rely on the Services for medical decisions.

10. Intellectual Property Rights

All intellectual property rights are owned by the Company.

No rights are transferred except as expressly granted.

11. Suspension and Termination

The Company may suspend or terminate access at any time, with or without notice, to protect legal, security, or business interests.

12. Limitation of Liability

To the maximum extent permitted by law:

• the Company shall not be liable for indirect, incidental, or consequential damages;
• total liability shall not exceed fees paid in the preceding twelve (12) months.

13. Indemnification

The User agrees to indemnify and hold harmless the Company from any claims arising from:

• use or misuse of the Services;
• violation of these Terms;
• training decisions made using the Services.

14. Force Majeure

The Company shall not be liable for failure or delay due to events beyond reasonable control.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Singapore. All disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

16. Severability

If any provision is found invalid, the remaining provisions remain enforceable.

17. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

18. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Services.
